Event Description

In today’s global marketplace, it is essential for multi-national companies to adopt strict reporting policies addressing corrupt conduct.  Failing to do so may subject a company to significant sanctions under the growing reach of extra-territorial anti-corruption laws.  Nevertheless, many companies based in Vietnam have difficulty implementing their reporting policies due to the significant risks faced by whistle-blowers.  In our presentation, we will address the following:

·        Why implementing a strict reporting policy and compliance program is essential to a multi-national company, and the risks of failing to do so.

·        Why employees may be reluctant to comply with reporting policies and compliance programs, and the legal and practical risks faced by whistle-blowers.

·        Measures a company can take to protect whistle-blowers and encourage greater transparency.

·        New developments in the law governing whistle-blower protection in Vietnam, and their possible impact.

·        Reporting obligations once corrupt conduct has been reported, and how to comply with these obligations.

Speakers:

Hang Nguyen Ms. Nguyen is a Partner in our Ho Chi Minh City Offices who is admitted to practice law in New York and Vietnam.  Since joining Baker & McKenzie in 2006, she has provided legal advice and assistance on a wide range of practice areas in various investment projects and has advised on transactional, corporate and regulatory issues in Vietnam, including employment and labor, merger & acquisitions, compliance, corporate and commercial.

With regards to her employment law practice, Ms. Nguyen heads the Firm’s labor and employment law practice group in Vietnam and is part of the wider Asia Pacific and Global Employment Law Group of the Firm.  She advises on all types of employment and labor matters, in both contentious and non – contentious issues, but she particularly focuses on labor regulations compliance, employment aspects of major transactions and corporate restructurings, global migration and executive mobility, restrictive covenants, labor relations and unions, and labor dispute resolution.

Ms. Nguyen is the Chairwoman of HR/Labor Committee of American Chamber of Commerce, Ho Chi Minh City Chapter, and is a leading authority and frequent speaker on Vietnam employment and labor law in Vietnam and the region.

Ms. Nguyen holds a B.A. in International Law from the Diplomatic Academy of Vietnam, a LL.M. in International and Comparative Law from Southern Methodist University’s Dedman School of Law, and an Executive MBA from the University of Hawai’i at Manoa’s Shidler College of Business.

SarahMs. Sarah Galeski is an Associate in the employment law group at Baker & McKenzie in Vietnam.  Ms. Galeski has extensive experience in contentious employment matters, compliance, corporate fraud and contractual disputes.

Prior to coming to Vietnam, Ms. Galeski practised at Dentons Canada LLP in Vancouver, Canada, as an associate in the firm’s commercial litigation group.  In this role, she acted as co-counsel for an employer suing a former employee for fraud, which resulted in a multi-million dollar judgment for her client.

Ms. Galeski is the co-author of “The Liability Protection Afforded a Limited Partner” with Emily Pitcher in Business Vehicles, Vol.IV, No.3 (Federated Press 2012), p. 753, and  “Insolvency in the Forestry Sector” with Tim Bezeredi, presented at the Canadian Institute’s Advanced Insolvency Law Conference, Vancouver, September 16 and 17, 2009.

Ms. Galeski is a graduate of McGill University (BA, International Development and Psychology, 2003) and  studied law at the University of British Columbia (LLB, 2008).  While attending law school, Ms. Galeski received the Davis & Company prize in Asian Law.  Ms. Galeski is a member of the British Columbia Law Society.
